Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SkyRobins suite of AI tools—including AI chat, image generation, and other tools (the “Service”)—provided by Erabound, Inc., a Delaware C Corporation (“Erabound,” “we,” “us,” or “our”). By accessing or using the Service at https://skyrobins.com (“Website”), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old to use the Service. By registering, you represent that you meet this requirement.

2. Account Registration

  1. Registration: To access certain features (including subscription tiers), you must create an account with a valid email and password.

  2. Accuracy: You agree to provide true, accurate, and complete information and to keep it up-to-date.

  3. Security: You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Subscription Plans & Payments

  1. Free Tier: Provides limited access to selected features at no cost.

  2. Paid Subscriptions: Access to premium features via recurring fees processed by Stripe. You authorize us to charge the payment method you provide.

  3. Billing: Subscription fees are billed in advance on a recurring cycle. No refunds except as required by law.

4. Use of the Service

  1. Permitted Use: You may use the Service for lawful purposes and in accordance with these Terms.

  2. Prohibited Conduct: You may not use the Service to infringe third-party rights, transmit unlawful content, or otherwise violate applicable law.

5. Intellectual Property

  1. Our Ownership: The Service, its underlying software, code, and all trademarks, logos, and designs are owned by Erabound or its licensors.

  2. License to You: Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.

6. User-Generated Content & Copyright

  1. Your Content: You retain all ownership rights in the text, prompts, images, and other materials you submit (“User Content”).

  2. License to Erabound: By submitting User Content, you grant us a worldwide, royalty-free license to use, display, and distribute it as needed to operate and improve the Service.

  3. Copyright Responsibility: You alone are responsible for ensuring that your User Content does not infringe any third-party copyright or other rights. Any legal risk arising from your content or its misuse is solely yours.

7. AI Outputs & Hallucinations

The Service generates content using large language models and image-generation models, which can produce inaccurate or “hallucinated” information. You acknowledge and agree that:

  • All AI-generated outputs are for reference only.

  • You must independently verify any factual information before relying on it.

  • We disclaim any liability for errors, omissions, or decisions made based on AI outputs.

8. Third-Party Services

The Service relies on third-party platforms (e.g., Sentry, PostHog, Supabase, Vercel, OpenRouter, Perplexity, Fal.ai, Stripe). Your use of these integrated services is subject to their own terms and privacy policies.

9. Disclaimers & No Warranty

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ERABOUND’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID IN THE PRIOR 12 MONTHS (OR USD 100 IF LESS). ERABOUND IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

11. Indemnification

You agree to indemnify and hold harmless Erabound and its affiliates, officers, and employees from any claims, damages, losses, or expenses arising from your use of the Service or your breach of these Terms.

12. Termination

We may suspend or terminate your access for any reason, including breach of these Terms. Upon termination, your right to use the Service ends, but Sections 5, 6, 7, 9, 10, 11, and 13–15 will survive.

13. Changes to Terms

We may modify these Terms at any time. We will post the revised Terms on the Website with an updated “Last Updated” date. Continued use after changes constitutes acceptance.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Delaware, and you hereby consent to the personal jurisdiction of such courts.

  3. 帳單： 訂閱費用預先按週期收取，除法律另有規定外，不予退還。

4. 服務使用

  2. 禁止行為： 嚴禁利用本服務侵害第三方權利、傳輸違法內容或違反適用法規。

5. 智慧財產權

  1. 本公司所有權： 本服務及其軟體原始碼、商標、標誌及設計等，均由 Erabound 或其授權人擁有。

  2. 授予您的許可： 在遵守本條款前提下，我們授予您非獨占、不可轉讓、可撤銷的許可，以個人或內部商業用途存取並使用本服務。

6. 用戶生成內容與著作權

  1. 您的內容： 您提交之文字、提示、影像及其他資料（「用戶內容」）所有權仍歸您所有。

  2. 授予本公司權利： 您提交用戶內容即授予我們全球、免版稅、可轉授的許可，以運營並改進本服務。

  3. 著作權責任： 您須自行確保用戶內容不侵害任何第三方著作權或其他權利。因您內容或其濫用引起之任何法律風險，悉由您自行承擔。

7. AI 產出與幻覺錯誤

本服務透過大型語言模型及影像生成模型產出內容，可能出現不準確或「幻覺」資訊。您同意：

  • 所有 AI 生成的結果僅供參考。

  • 在依賴內容前，需自行驗證其真實性。

  • 對於因錯誤或遺漏所致之決策或損失，我們不承擔任何責任。

8. 第三方服務

本服務整合第三方平台（如 Sentry、PostHog、Supabase、Vercel、OpenRouter、Perplexity、Fal.ai、Stripe）。您使用該等服務時，亦須遵守其各自條款與隱私政策。

9. 免責聲明與無擔保

本服務「依現狀」及「可用性」提供，不附任何明示或默示之擔保，包括適售性、特定目的適用性或非侵權性。

10. 責任限制

在法律允許最大範圍內，Erabound 因本條款或服務所生或相關之累計責任，最高不超過您於前12個月支付之金額（或若該金額低於100美元，則以100美元為限）。Erabound 不對任何間接、附帶、衍生或懲罰性損害負責。

11. 賠償

因您使用本服務或違反本條款所引起之任何索賠、損害、損失或費用，您同意賠償並使 Erabound 及其關係企業、董事與員工免受損害。

12. 終止

若您違反本條款或我們認為有必要，我們得暫停或終止您的帳戶與服務存取。終止後，您的使用權即行終止，第 5、6、7、9、10、11、13–15 條仍持續有效。

13. 條款變更

我們得隨時修改本條款，並於網站公布最新版本及「最後更新」日期。繼續使用即表示您接受修改後的條款。

14. 準據法與爭議解決

本條款適用美國德拉瓦州法律，不考慮其法律衝突原則。任何因本條款或服務所生爭議，應專屬提交至位於德拉瓦州的州或聯邦法院解決，並同意該等法院之專屬管轄權。
